 INFORMATION AND TERMS AND CONDITIONS

These Terms and Conditions apply to your purchase from ILS Industrial Lighting (“ILS”).  By placing an order, you acknowledge that you have read, accepted and agree to be bound by these Terms and Conditions. ILS’ offer to sell products to you is expressly limited to and made conditional upon your acceptance of the terms and conditions contained herein and no other terms and conditions are applicable to the transaction.

ORDER PROCESS

You can order ILS products directly from our website or over the telephone. For phone orders or order assistance, please contact ILS Customer Service. ILS will provide an order acknowledgement to customers who submit a valid e-mail address at time of order.  There is no minimum order amount.

 

FREE SHIPPING REQUIREMENT

ILS sells to electrical contractors, industrial end-users and wholesale lighting and electrical distributors throughout the continental United States (excluding Alaska and Hawaii).  ILS will ship all individual orders (within the continental United States (excluding Alaska and Hawaii)), that have a value of $2,000.00 or more, free of freight charges (ILS will pay for freight). To qualify for free shipping, the order must be shipped in one shipment and shipped to one location, using our choice of carrier.  For individual orders that have a value of $1,999.00 or less, freight will be added to the order (customer will pay for freight).  All shipments of ILS products are FOB Origin.  Product ownership and liability passes to the customer when the product departs any ILS facilities.

 

SHIPPING AND HANDLING

All orders for products in stock will be shipped as soon as possible but no later than the next business day after receipt of order and any required documentation. All orders are shipped standard ground shipping, to your designated shipping point in any of the 48 contiguous states.  Orders will be shipped on pallets by common carrier and will require you to be responsible for prompt unloading.  ILS does not ship to Alaska or Hawaii.  Should you have special or expedited shipping requirements, please contact ILS Customer Service.  Special handling charges may apply to special or expedited shipping requirements.  All shipments of ILS products are FOB Origin.  Product ownership and liability passes to the customer when the product departs any ILS facilities.

TAX EXEMPT SALES

Taxes will be added to each order if you are located in a state in which ILS has nexus, unless you provide a certificate establishing exemption from taxation. Orders that are tax-exempt for resale, tax-exempt organizations or direct pay permits will be accepted but notprocessed or shipped until a valid tax certificate is received by ILS. Fax or e-mail the certificate to ILS Customer Service.  Taxes will not be added to orders for shipments to states in which ILS does not have nexus.  Call or email ILS Customer Service to see if taxes will be applied.

 

PAYMENT AND PRICING

ILS uses Interspirefor your security and accepts Visa, MasterCard, and Discover for online or phone orders.  With prior authorization from ILS Customer Service, an order may be paid by check but will not be processed or shipped until the check has cleared our bank.  All listed prices are subject to change without notice and exclude applicable freight and taxes.

 

LIGHTING FIXTURE LIMITED WARRANTY

ILS warrants that each of its lighting fixtures will at the time of delivery by ILS be free from defects in workmanship (“Warranty”). You must submit your Warranty claim in writing to ILS within one year after delivery of the lighting fixtures. Damage incurred in improper installation or use is not covered by this Warranty. The exclusive remedy for breach of this Warranty is for ILS to replace the lighting fixture in question. This Warranty excludes any warranty on ballasts and field labor or service charges related to the repair or replacement of the Iighting fixture. For information concerning ballasts, please refer to the Ballasts section below. To submit a warranty claim on a lighting fixture, please contact ILS Customer Service. ILS reserves the right to change the warranty terms or warranty period without prior notice and without incurring obligation. ALL OTHER WARRANTIES AND REMEDIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, (INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT) ARE HEREBY EXCLUDED.  No variation or extension of THE WARRANTY or remedies shall be binding unless in writing and signed by a CORPORATE OFFICER of ILS.

 

BALLASTS

All ballasts installed in ILS products are warranted directly by the ballast manufacturers. your exclusive warranty for a ballast is that provided by the ballast manufacturer.  ILS makes no express or implied warranty on ballasts. 

 

 PRIVACY AND SECURITY INFORMATION

Our customer information is confidential. ILS does not sell or distribute customer information to any individual, business or organization. All credit card information submitted through orders on our website is handled exclusively by Interspireto assure your security.

 

RETURN POLICY

Unused and undamaged products may be returned if authorized in advance by ILS. The item or items must be in new condition, having never been installed and in their original packaging.  To request authorization to return a product, call ILS Customer Service.  Any authorized return must be shipped freight and insurance prepaid and received by ILS within 60 days of the date the product was originally shipped from ILS facilities.  A restocking and inspection charge of 15 percent of the original purchase price will be charged for all authorized returns.   

 

LIMITATION OF LIABILITY 

THE TOTAL AGGREGATE LIABILITY OF ILS ARISING OUT OF OR RELATING TO THE SUPPLY OF PRODUCTS, SHALL BE LIMITED TO THE ACTUAL AMOUNTS PAID BY BUYER TO ILS FOR THE PRODUCTS GIVING RISE TO SUCH DAMAGES. IN NO EVENT SHALL ILS BE LIABLE FOR LOSS OF PROFITS, COST OF PROCURING SUBSTITUTE GOODS OR SERVICES, OR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND, EVEN IF ILS IS AWARE OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR THE CLAIM BY ANY THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED HEREIN.  Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

 

MISCELLANEOUS

a.  These Terms and Conditions contain the entire understanding of the parties and supersede and merge all prior and contemporaneous agreements and discussions between the parties.  Any and all representations or agreements by any agent or representative of either party not contained in these Terms and Conditions shall be null, void and of no effect, including but not limited to representations as to the performance or conduct of ILS, or any other matter pertaining to these Terms and Conditions, its performance or the products.  These Terms and Conditions may not be changed or waived in any way, except by written agreement signed by both parties. No waiver by either party of any default shall operate as a waiver of any other default or of the same default on a future occasion. 

b.  Except for claims for payment for products sold and delivered, the parties agree to submit all disputes arising out of or relating to these Terms and Conditions, including the termination thereof, the parties’ relationship, or the rights and obligations of the parties, to final and binding arbitration before a single arbitrator in Dallas, Texas, under the Commercial Arbitration Rules of the American Arbitration Association. The costs of the arbitrator shall be borne equally by the parties and each party shall be responsible for its own attorney’s fees and costs.

c.  If for any reason any provision of these Terms and Conditions, shall be deemed by the arbitrator or a court of compe­tent jurisdiction to be unenforceable in any jurisdiction to which it applies, the validity of the remainder of these Terms and Conditions shall not be affected and such provision shall be deemed modified to the minimum extent necessary to make such provision consistent with applicable law, and, in its modified form, such provision shall then be enforceable and enforced.
